These Terms & Conditions ("Terms") govern your use of the DeryCode website, services, and software products. By accessing our website, engaging us for services, or using any software we build for you, you agree to be bound by these Terms. If you do not agree, please discontinue use of our website and services.
1. Definitions
- "DeryCode", "we", "us", "our" refers to DeryCode Technologies, a software development company based in Kyenjojo, Uganda.
- "Client", "you", "your" refers to any individual or organization that accesses our website, engages our services, or uses our software products.
- "Services" refers to software development, web and mobile application development, blockchain and smart contract development, AI systems, API integrations, digital marketing, UI/UX design, consulting, and any related services we provide.
- "Deliverables" refers to any software, code, designs, documentation, or digital assets created for the Client as part of a project.
2. Use of Our Website
- You may use our website for lawful purposes only. You must not misuse the site by introducing malware, attempting unauthorized access, scraping content without permission, or engaging in any activity that disrupts or compromises the site's security.
- All content on this website — including text, graphics, logos, images, and code — is the property of DeryCode unless otherwise stated. You may not reproduce, distribute, or republish content without our written permission.
- You may share links to our pages and reference our work with proper attribution.
3. Service Agreements
- Each project undertaken by DeryCode is governed by a separate proposal or contract that outlines scope, timeline, deliverables, and pricing. These Terms supplement — and do not replace — any project-specific agreement.
- In the event of a conflict between these Terms and a signed project contract, the project contract takes precedence.
- We reserve the right to decline or cancel a project if the requirements are unlawful, unethical, or conflict with our values or existing commitments.
4. Payment Terms
- Project pricing is agreed upon in writing before work begins. Unless otherwise specified, we typically require a 50% upfront deposit before development starts, with the remaining balance due upon project completion and before final delivery.
- For ongoing services (maintenance, hosting, support), fees are billed on a recurring basis as specified in the service agreement.
- We accept payments via MTN MoMo, Airtel Money, bank transfer, and other methods agreed in the project contract.
- Late payments may result in suspension of services or withholding of deliverables until the outstanding balance is settled.
5. Project Timeline & Revisions
- Project timelines are estimates based on the agreed scope. Delays caused by the Client (delayed feedback, content not provided, scope changes) may extend the delivery timeline.
- Each project includes a defined number of revision rounds as specified in the project proposal. Additional revisions beyond the agreed scope may incur extra charges.
- Significant changes to project scope after work has begun will be treated as a new scope and may require a revised quote and timeline.
6. Intellectual Property
- Upon full payment, ownership of the custom Deliverables created specifically for the Client transfers to the Client. This includes source code, designs, and documentation produced for the project.
- DeryCode retains ownership of pre-existing frameworks, libraries, templates, tools, and methodologies used in the project. These may be reused in other projects.
- DeryCode may showcase completed work in our portfolio, case studies, and marketing materials unless the Client has explicitly requested confidentiality in writing.
- Open-source components used in Deliverables remain licensed under their respective open-source licenses.
7. Warranties & Disclaimers
- We warrant that our Deliverables will be free from material defects for a period of 30 days after final delivery. During this period, we will fix bugs attributable to our work at no additional cost.
- This warranty does not cover issues caused by third-party services, server changes, modifications made by the Client or third parties, or changes in external APIs beyond our control.
- Except as expressly stated, all services are provided "as is" without warranties of any kind, express or implied, including fitness for a particular purpose.
- We do not guarantee that any software will be error-free, uninterrupted, or immune to security vulnerabilities, as no software can be guaranteed to be 100% secure.
8. Limitation of Liability
- To the maximum extent permitted by law, DeryCode shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the use of our services or Deliverables.
- Our total liability for any claim arising from a project shall not exceed the total amount paid by the Client for that specific project.
- We are not liable for data loss, business interruption, loss of revenue, or loss of profits resulting from the use or inability to use our Deliverables.
9. Client Responsibilities
- The Client agrees to provide timely feedback, content, access credentials, and resources needed for the project.
- The Client is responsible for the accuracy and legality of all content they provide for inclusion in the Deliverables.
- The Client must not use the Deliverables for any unlawful or fraudulent purpose.
10. Confidentiality
Both parties agree to keep confidential any proprietary information shared during the course of a project. This includes business strategies, technical details, user data, and project specifications. Confidentiality obligations survive the completion of the project and termination of any agreement.
11. Third-Party Services
Our Deliverables may integrate with third-party services such as payment gateways (MTN MoMo, Airtel Money, PesaPal), cloud hosting providers, and external APIs. DeryCode is not responsible for the availability, reliability, or changes to these third-party services. The Client agrees to comply with the terms of any third-party services used in their project.
12. Termination
- Either party may terminate a project agreement with written notice if the other party materially breaches the agreement and fails to remedy the breach within 14 days of notice.
- If the Client terminates the project before completion, the Client is responsible for payment of all work completed up to the termination date. The upfront deposit is non-refundable.
- If DeryCode terminates the project due to Client breach, all unpaid invoices become immediately due.
13. Refund Policy
- The upfront deposit is non-refundable as it covers initial planning, design, and resource allocation.
- If DeryCode fails to deliver the agreed scope and the Client has paid in full, a proportional refund may be negotiated based on the work completed.
- Recurring service fees (hosting, maintenance) are non-refundable for the current billing period but may be cancelled for future periods with written notice.
14. Force Majeure
DeryCode shall not be held liable for delays or failures to perform caused by events beyond our reasonable control, including but not limited to natural disasters, internet outages, power failures, government actions, pandemics, or failures of third-party services.
15. Govering Law
These Terms and any disputes arising from them shall be governed by the laws of the Republic of Uganda. Any legal proceedings shall be brought in the courts of Uganda, unless both parties agree to an alternative dispute resolution method such as mediation or arbitration.
16. Changes to These Terms
We may update these Terms & Conditions at any time. Changes will be posted on this page with an updated revision date. Continued use of our services after changes constitutes acceptance of the updated Terms.
